1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and 313 Properties Ltd (Reg. C-162267), concerning your access to and use of the Golden Resort Kuakata platform and investments.

2. Shariah-Compliant Investment Model

All investments, hotel room ownership shares, and fractional commercial units offered through Golden Resort Kuakata follow the Shariah-compliant Mudarabah business model.

  • Investors act as Rab-ul-Maal (capital providers) and 313 Properties Ltd acts as the Mudarib (manager/developer).
  • Profits generated from resort operations, rental suites, and amenities are shared based on a pre-agreed ratio.
  • Losses, if any, resulting from normal market conditions are borne by the capital providers, while loss of effort/management is borne by the Mudarib, unless there is proven negligence or misconduct on the part of the Mudarib.

3. Legal Ownership & Deed Registry

We guarantee full legal sovereignty to our investors. Upon successful completion of the investment value and fulfillment of administrative requirements:

  • Investors are entitled to a legally registered Sub-Kabala Registry Deed.
  • All registry procedures are executed in accordance with the land registration laws of the Government of Bangladesh.
  • All registration costs, government duties, and local taxes are the responsibility of the investor unless explicitly stated otherwise in the specific asset allotment agreement.

Registry Verification: Investors can verify land records and property schedules at the Regional Sub-Registry Office in Mohipur, Patuakhali, or at the Head Office of 313 Properties Ltd in Dhaka.

4. Payment Terms & Installments

Investors opting for installment plans must adhere to the agreed payment schedule. Delayed payments may result in administrative notification and, if unresolved after consecutive reminders, may lead to the suspension or reassignment of the allotment under the terms of the Refund Policy.

5. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising out of these terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
